1. Changes
From time to time, Vipi may update the terms and conditions of this Agreement without notice. If you elect not to accept the new terms, Vipi may terminate this Agreement and discontinue providing the Services. Your use of the Services after an update constitutes consent to such changes.
2. Trial
Vipi may allow a 30-day free trial or another period as solely determined by Vipi. During the Trial Period, no Charges will apply. If the Trial Period ends without payment provision, Vipi will delete your account and all related data.
3. Services and Charges
In consideration of Charges, Vipi will provide the Services. “Charges” may be monthly fees based on either Order Payment or Flat Fee. Taxes, excluding U.S. federal or state taxes owed by VIPI, are your responsibility.
4. Payment Terms
Payment is made through an accepted Payment Mechanism, with finance charges or late fees applying to overdue payments. Costs incurred for collection are also payable by you.
5. Limitations
As a condition of using the Services, you warrant compliance with legal standards and refrain from unauthorized use. Excessive bandwidth use may result in account throttling or suspension.
6. User Name and Password
Your user name and password are for your exclusive use. Any unauthorized access must be reported to Vipi immediately.
8. Website
The Services are accessed partly via the Website, necessitating minimum computer and internet specifications. Vipi is not liable for service interruptions due to circumstances beyond control.
9. User Content
You retain ownership of Content shared via the Services. Vipi holds no liability for third-party misuse of Content or for its transfer across unsecure networks.
10. Ownership
Vipi owns the Services and Website software. Unauthorized copying is prohibited, and copyright infringement may result in liability.
11. Updates
Vipi may periodically upgrade or modify the Services, subject to the terms of this Agreement.
12. Technical Support
Technical support is available through email as long as all applicable Charges have been paid.
13. API
API access is governed by this Agreement, with Vipi reserving the right to modify or suspend API access.
14. Termination
You may terminate Services via the account dashboard, resulting in immediate deletion of stored Content.
15. Modifications & Price Changes
Vipi reserves the right to modify the Website or Services, with any price changes posted on the Website at least 30 days prior to effect.
16. Disclaimer of Warranty
Vipi provides Services and the Website “as is,” disclaiming all warranties to the extent permitted by law.
17. Limitation of Liability
To the maximum extent allowed by law, Vipi limits liability for Consequential Losses.
18. Indemnification
You agree to indemnify Vipi against Claims arising from your use of the Services.
19. Third Parties
Vipi integrates third-party e-commerce tools, disclaiming affiliation or liability for third-party inaccuracy.
20. Miscellaneous
(a) No Third-Party Beneficiaries, (b) Waiver, (c) Assignment, (d) Severability, (e) Notices, (f) Governing Law, (g) Jurisdiction and Venue, (h) Headings, and (i) Entire Agreement.
